Representation of the developer power generator throughout all phases of the development, financing, construction and operation of two 1,000 MW power generation facilities located in Guadalupe County and Ector County, Texas. Representation included drafting and negotiating engineering, procurement and construction contracts, power manager agreements, power sales agreements and credit arrangements related thereto, as well as various other agreements relating to power generation projects, including fuel supply and transportation agreements, interconnection agreements, water supply agreements, operation and maintenance agreements, tax abatement agreements, real estate option and acquisition agreements, and right-of-way agreements. Representation also included the project financing of the facilities and various issues arising in connection with the development, permitting, construction, and operation of the facilities.

1,500 MW hydroelectric power generation facility

Representation of the developer in connection with the development of a 1,500 MW hydroelectric power generation facility located in Honduras. Representation included corporate and tax structuring for ownership and financing of the project, negotiation of the joint venture agreement and joint development agreement with the partners in the project, negotiation with the Honduran government regarding concession rights, water rights and the power purchase agreement, and various matters relating to permitting, environmental studies and other issues arising in connection with the development of the project.

Multi-facility solid waste disposal system

Montgomery County, Maryland

Represented the developer in connection with the development of a multi-facility solid waste disposal system for Montgomery County, Maryland, which comprises an 1,800 ton-per-day waste-to-energy facility, a 200 ton-per-day materials recovery facility, a new sanitary landfill and an expansion and upgrading of its existing transfer station, including the construction of a rail yard and the creation of a rail system by which solid waste is moved from the transfer station to the waste-to-energy facility. Montgomery County plans to operate its solid waste disposal activities on a "system" basis; bonds will be issued at different times to finance different parts of the system under a master authorization, and each issue of bonds will be backed by the County's revenues from all components of the system.
