Developed business and market analysis for capacity and ancillary production and services, zonal vs. nodal pricing, project justification economics, financial and operational risks, environmental exposure, fuel balancing and procurement, and addressed concerns relative to vertical and horizontal market power.

Representation of the purchaser in connection with the acquisition from the owner/lessor of a Haverhill, Massachusetts 950 ton-per-day refuse-derived fuel ("RDF) facility and the development and operation of a 1,650 ton-per-clay mass-burn waste-to-energy facility on an adjacent site as part of a single project financing involving the issuance of approximately $223 million in both tax-exempt and taxable bonds.

Representation of NU in its successful hostile acquisition of PSNH during that company's landmark bankruptcy case including negotiating the Managing Agent Operating Agreement and related documents with the other Seabrook co-owners, and preparing and prosecuting the applications for the requisite regulatory approvals for the transfer of PSNH's ownership interest therein.
