Scott P. Towers is a partner in the Business & Finance Department and a member of the Mergers and Acquisitions Group and the Energy and Project Finance Group. His practice is concentrated in the areas of general corporate law, mergers and acquisitions, and business transactions. Mr. Towers has represented private and public companies with respect to corporate governance issues and a variety of business matters, such as the drafting and negotiation of product distribution, employment, confidentiality, non-competition, shareholder, accounts receivable factoring, and licensing agreements. He has advised boards of directors of several public company clients on takeover defenses and Pennsylvania’s anti-takeover statutes. He has represented individual and corporate clients in the formation of partnerships, corporations, and limited liability companies. Prior to joining Ballard Spahr, Mr. Towers was an attorney in the Attorney General’s Honor Program assigned to the U.S. Department of Justice, Tax Division, Appellate Section in Washington, DC.

 

Mr. Towers is an active member of the Negotiated Acquisitions Committee of the Business Law Section of the American Bar Association. He is also a member of the firm’s Pro Bono Committee.

 

Mr. Towers is a graduate of Fairfield University (B.S. 1986) and Widener University School of Law (J.D., cum laude, 1990), where he was a member of The Delaware Journal of Corporate Law and the author of “Ivanhoe v. Newmont Mining Corp; The Unocal Standard - More Bark Than Bite?,” 15 Del. J. Corp L. 483 (1990). He enjoys such outdoor activities as skiing and surfing and also has an interest in photography and theater.
