Mr. Hughes is a partner in the Upstream and Midstream Energy Services and Oil & Gas Transaction Services practice areas at McMillan LLP.  Mr. Hughes's practice focuses on energy marketing, including working closely with in-house counsel, credit, risk, treasury and trading groups to draft and negotiate physical and derivative financial instruments for energy marketing and trading; instruments including ISDA's, brokerage agreements, GasEDI's, NAESB's, Edison Electric Institute (EEI) Master Enabling Agreement, WSPP, Direct Gas Sales Contracts (large and small end-users), Netting, Guarantees, Bonds, Collateral/Securitization Agreements and various buy/sell arrangements for wide range of crude products and by-products; extensive experience in all matters related to electricity supply, including negotiating, drafting and developing precedents for commercial and industrial end-use contracts, swaps, and Direct Sales Contracts; extensive knowledge of the Alberta Power Pool and the Pool Rules governing the Independent System Operator; and ensuring compliance with regulatory authority (including FERC) and implementation of corporate policy in all negotiated energy supply contracts.


Mr. Hughes also has extensive experience in Oil & Gas mergers and acquisitions, including negotiating and closing petroleum, natural gas and other energy-related asset purchase and sale transactions;corporate and regulatory due diligence on both large and small scale acquisitions and divestitures in Alberta, British Columbia and Saskatchewan; negotiating, researching and resolving a variety of operational issues arising among operators and co-owners of energy properties, and offering general advice and assistance to energy companies; and negotiating and structuring small business shareholders' agreements and attending to matters of corporate governance.

Mr. Hughes also possesses experience in the telecommunications industry, including negotiating and drafting various leases, licences and co-location agreements for telecommunications tower sites, negotiating and resolving a variety of operational issues arising among owners and co-users, and offering general advice to telecommunications companies.


Mr. Hughes is a graduate of the University of Saskatchewan (1992) and Queen's University (1995).
